TERMS AND CONDITIONS OF SERVICES

INTRODUCTION

These Terms and Conditions govern all services provided by GRUPO KRZI S.A.S., operating under the commercial name AseoAseo (hereinafter, the “COMPANY”).

By contracting any service, the CLIENT expressly accepts these conditions, which shall prevail unless specific written agreements state otherwise.


DEFINITIONS

COMPANY: GRUPO KRZI S.A.S.

CLIENT / USER / CONTRACTING PARTY: Any natural or legal person who contracts services.

PERSONNEL / CLEANING ASSISTANT: Individuals assigned by the COMPANY to provide services.


GENERAL SERVICE POLICIES

1. PAYMENT

All services must be paid in full in advance. A booking is confirmed only upon successful payment.


2. NO CANCELLATION POLICY

All services are final and non-refundable.

The CLIENT expressly waives any right to cancellation, refund, or reimbursement.


3. RESCHEDULING POLICY

3.1 General Services

The CLIENT may reschedule services an unlimited number of times, provided notice is given at least twenty-four (24) hours in advance.

Rescheduling includes:

  • Date and time changes

  • Location changes

  • Transfer to a third party

Services do not expire and may be used at any time, subject to availability.

Requests outside the notice period are subject to COMPANY discretion.


3.2 Package Services

For package or recurring services:

  • Rescheduling allowed up to twelve (12) hours in advance

  • No additional cost within this timeframe

  • Unlimited rescheduling without expiration

Late requests remain subject to COMPANY approval.


4. NO-SHOW AND CLIENT NON-COMPLIANCE

If the service cannot be performed due to causes attributable to the CLIENT, including but not limited to:

  • No access to premises

  • Absence of an adult

  • Incorrect address

  • Refusal of entry

The service shall be considered effectively rendered, with no refund.

Rescheduling in such cases shall be subject to COMPANY discretion and may require payment of an additional operational fee.


5. COMPANY RESCHEDULING

If the COMPANY reschedules:

  • The CLIENT may accept a new date or request another

  • No additional charge applies


6. HOLIDAYS AND SUNDAY SERVICES

The COMPANY does not normally provide services on Sundays or official Colombian public holidays.

However, upon request and subject to availability, services may be provided at a rate of two (2) times the standard service value, in accordance with Colombian labor law.


CONFIDENTIALITY AND EXCLUSIVITY

COMPANY OBLIGATIONS

The COMPANY shall:

  • Provide qualified personnel

  • Assume all labor obligations

  • Deliver services professionally


CLIENT OBLIGATIONS

The CLIENT agrees to:

  • Pay in advance

  • Treat personnel respectfully

  • Provide necessary supplies

  • Ensure safe working conditions

  • Safeguard valuables

  • Allow rest and meal breaks

  • Not interfere with personnel employment


WORKING CONDITIONS AND BREAKS

The CLIENT must provide a dignified space for rest and meals.

In accordance with Colombian law:

  • Full-day services include a 1-hour break

  • Half-day services include a 4-hour break interval

These periods:

  • Are mandatory

  • Are not included in billed service hours


EXCLUSIVITY AND NON-SOLICITATION

The CLIENT shall not:

  • Hire or attempt to hire COMPANY personnel

  • Request contact details

  • Offer direct compensation

This restriction applies during the service and for twelve (12) months after the last service.

PENALTY CLAUSE

Breach shall result in an automatic penalty of fifteen (15) SMMLV, enforceable without need to prove damages.

The COMPANY may terminate services and offset payments accordingly.


SERVICE CONDITIONS

LIABILITY AND DAMAGES

The COMPANY shall not be liable for damages occurring at the CLIENT’s premises.

If a complaint arises:

  • An investigation will be conducted

  • If intentional misconduct is proven, compensation shall be limited to the value of the service

The CLIENT is responsible for safeguarding valuables exceeding said value.


GENERAL CONDITIONS

  • Service is provided at agreed time and location

  • CLIENT must ensure access

  • Personnel perform only agreed tasks

  • Location changes allowed via rescheduling


NATURE OF THE RELATIONSHIP

This agreement is civil/commercial in nature.

No employment relationship exists between:

  • CLIENT and COMPANY

  • CLIENT and personnel

All labor obligations remain with the COMPANY.


COMPLAINTS AND CLAIMS

Complaints must be submitted:

  • In person: CRA 78 #47-34, Suite 204, Medellín

  • Email: book@aseoaseo.com

Response time: 15 business days


DISPUTE RESOLUTION AND JURISDICTION

This agreement is governed by Colombian law.

DIRECT NEGOTIATION

Parties shall attempt resolution within 15 business days.

ARBITRATION

Unresolved disputes shall be submitted to:

  • Cámara de Comercio de Medellín para Antioquia

  • One arbitrator

  • Spanish language

  • Medellín jurisdiction

The decision shall be final and binding.


EXECUTIVE MERIT

This contract constitutes a título ejecutivo, allowing direct enforcement of payment obligations and penalties.


WAIVER OF JURISDICTION

The parties waive ordinary courts except for enforcement or precautionary measures.


DOMICILE

Legal domicile: Medellín, Colombia


ACCEPTANCE

By contracting services, the CLIENT confirms full acceptance of these Terms and Conditions.
